Please read these Terms carefully before engaging MedVersify's services. By using our services, you agree to be bound by these Terms.

1. Acceptance of Terms
By accessing or using any services provided by MedVersify LLC ("MedVersify," "we," "us," or "our"), including our website and all related administrative services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you (the "Client" or "Practice") and MedVersify. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. Description of Services
MedVersify provides healthcare administrative support services including, but not limited to:
• Medical Billing & Revenue Cycle Management — claim submission, denial management, payment posting, and collections support.
• MIPS Reporting & Compliance — quality measure tracking, documentation alignment, and CMS submission coordination.
• Provider Credentialing & Enrollment — payer enrollment, CAQH profile management, and revalidation monitoring.
• Patient Scheduling Support — appointment management, no-show reduction, and schedule optimization.
The specific services rendered to your practice are governed by a separate Service Agreement executed between your practice and MedVersify. These Terms apply in addition to that agreement.
3. Client Responsibilities
To enable MedVersify to perform services effectively, you agree to:
(a) Provide accurate, complete, and timely information necessary for billing, credentialing, and reporting activities.
(b) Notify MedVersify promptly of any changes to provider information, payer contracts, licensure, or practice structure.
(c) Ensure that all clinical documentation provided to MedVersify accurately reflects the services rendered.
(d) Maintain appropriate access credentials and notify MedVersify immediately if any credentials are compromised.
(e) Comply with all applicable federal, state, and local laws, including HIPAA, the False Claims Act, and CMS regulations.
You acknowledge that MedVersify's ability to deliver accurate results is directly dependent on the accuracy and completeness of the information you provide.
4. HIPAA Compliance & Protected Health Information
MedVersify operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). We enter into a Business Associate Agreement (BAA) with each client practice prior to handling any Protected Health Information (PHI).
MedVersify implements and maintains administrative, physical, and technical safeguards designed to protect the confidentiality, integrity, and availability of PHI in accordance with the HIPAA Security Rule.
You, as the Covered Entity, are responsible for ensuring that your own use and disclosure of PHI complies with applicable HIPAA requirements. MedVersify is not responsible for PHI breaches caused by your practice's failure to comply with HIPAA obligations.
In the event of a breach of unsecured PHI attributable to MedVersify, we will notify you in accordance with the HIPAA Breach Notification Rule.
5. Fees & Payment
Service fees are outlined in your executed Service Agreement with MedVersify. Fees may be structured as a percentage of collections, a flat monthly rate, or a combination thereof, depending on the services contracted.
Invoices are issued in accordance with the billing schedule specified in your Service Agreement. Payment is due within the period stated on each invoice. Late payments may be subject to a late fee as specified in your Service Agreement.
MedVersify reserves the right to suspend services for non-payment after providing written notice. Suspended services will be reinstated upon receipt of all outstanding balances.
6. Intellectual Property
All content, tools, workflows, templates, and methodologies developed or used by MedVersify in the course of providing services remain the sole intellectual property of MedVersify. Nothing in these Terms transfers any intellectual property rights to you.
You retain ownership of all clinical records, practice data, and financial data belonging to your practice. Upon termination of services, MedVersify will return or destroy your data in accordance with your Service Agreement and HIPAA requirements.
7. Limitation of Liability
To the maximum extent permitted by applicable law, MedVersify's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to MedVersify in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall MedVersify be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, or loss of data, even if advised of the possibility of such damages.
MedVersify does not guarantee specific financial outcomes, claim acceptance rates, or reimbursement amounts, as these are subject to payer determinations beyond our control.
8. Term & Termination
These Terms remain in effect for the duration of your engagement with MedVersify. Either party may terminate the service relationship in accordance with the notice provisions in your Service Agreement.
Upon termination, MedVersify will complete any claims already in process and cease submission of new claims. All access credentials provided to MedVersify must be revoked by your practice upon termination.
Sections of these Terms that by their nature should survive termination — including HIPAA obligations, intellectual property, limitation of liability, and dispute resolution — shall continue to apply after termination.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.
10. Changes to These Terms
MedVersify reserves the right to update these Terms at any time. We will notify active clients of material changes via email or through our website. Your continued use of our services after the effective date of any update constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically to stay informed of any changes.
